Mutual NDA
A mutual non-disclosure agreement is signed before the first real conversation, in both directions. This page explains why, and what to expect.
Why it comes first
The conversations we are useful in are the ones you cannot have in public: an unlaunched token model, a security incident, a founder problem, an acquisition. You cannot brief anyone properly on those while managing what you are allowed to say, so the agreement goes first and the conversation is a real one.
It runs in both directions. You learn how we work, what we have seen and where we think the risks are, and that is ours to protect in the same way yours is yours.
What it covers
In short: anything either side shares in connection with a possible or actual engagement stays confidential, is used only to evaluate and carry out that work, and is returned or destroyed on request. It does not stop either of us using general skill and knowledge, and it does not cover anything already public.
It is a short document — a couple of pages, no exclusivity, no obligation to engage us afterwards.
